Start by testing the transfer

TUPE can apply when a business or undertaking changes owner and keeps its identity, or when a qualifying service moves between providers or is brought in-house. The label used in the sale or outsourcing contract does not decide the legal test.

The GOV.UK transfer overview explains the Great Britain routes. The size of the business does not itself remove TUPE. Asset use, activities, workforce, customers and continuity can all matter, so uncertain cases need advice before either organisation promises an outcome.

Employment normally moves with the work

Assigned employees normally transfer automatically with their continuity, contracts and most existing rights and liabilities preserved. The new employer steps into the employment relationship. Occupational pension treatment has specific exceptions and protections that need separate checking.

Employees can object to transferring, but that will usually end their employment at the transfer without a dismissal. Explain the consequence before recording an objection and do not present resignation as the only alternative to an unclear role.

Build one shared transfer plan

Identify affected employees, representatives, dates, measures and information each employer must provide. Inform and consult in good time, including recognised unions or elected representatives where required. If there are no existing representatives, direct consultation is available where the employer has fewer than 50 employees or fewer than 10 employees are transferring. Otherwise, representatives must normally be elected.

The outgoing employer must provide required employee-liability information before the transfer. The incoming employer should verify pay, leave, benefits, family leave, claims, disciplinary matters and continuous-employment dates, then confirm who owns each action. Northern Ireland employers should use the separate nidirect route in the jurisdiction note, including its service-provision regulations.
